Terms of Service

1. The service

VinKet is a B2B2C vintage marketplace connecting wholesalers, retail sellers, and buyers across Europe. We provide AI-powered tools for listing, pricing, and discovery. We facilitate transactions but do not take ownership of items sold on the Platform.

2. Eligibility

You must be at least 18 years old and able to enter into binding contracts. Wholesalers and sellers must be registered businesses where applicable, and provide accurate VAT and identification information.

3. Account registration

You are responsible for the accuracy of registration information and for maintaining account security. You may not share your account credentials. We may suspend accounts that violate these Terms.

4. Fees and commissions

• Sellers: 8% commission on completed sales (6% on Maison tier)
• Wholesalers: 8% commission on completed sales (6% on Archive, 5% on Vault)

• Promotional codes may apply temporarily as advertised
• All fees are exclusive of applicable taxes (VAT)

5. Payments

Payments are processed by Stripe. Sellers and wholesalers must complete Stripe Connect onboarding to receive payouts. Funds are held in escrow for 7 days after delivery confirmation, then released to the seller minus the platform commission. Refunds and disputes are handled per Stripe policies and EU consumer law.

6. Listings and content

Sellers represent that they own the items listed and have the right to sell them. Listings must be accurate, must not infringe third-party intellectual property, and must comply with all applicable laws (including consumer protection and anti-counterfeit regulations). We may remove listings at our discretion.

7. Buyer rights and returns

EU consumers have a 14-day right of withdrawal under EU Directive 2011/83/EU, except for second-hand items sold "as is" in their condition described. Disputes are resolved between buyer and seller, with VinKet acting as facilitator. Escrow protects buyers until delivery confirmation.

8. Prohibited items

The following are prohibited: counterfeit goods, stolen items, hazardous materials, items requiring special licenses, items violating EU consumer safety, and any items prohibited by applicable law.

9. Intellectual property

The VinKet platform, brand, software, and AI tools are our intellectual property. You retain ownership of content you upload, but grant us a non-exclusive license to display, distribute, and process your content as needed to provide the service.

10. AI-generated content

VinKet uses AI to suggest titles, prices, descriptions, and translations. AI suggestions are estimates and may contain errors. Sellers are responsible for reviewing and approving AI-generated content before publication.

11. Limitation of liability

To the maximum extent permitted by law, VinKet's liability is limited to the amount of fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or incidental damages. Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct.

12. Termination

You may close your account at any time. We may suspend or terminate accounts for violation of these Terms. Pending transactions will be completed where possible.

13. Governing law and jurisdiction

These Terms are governed by the laws of Italy. Any disputes will be resolved exclusively by the competent courts of Genoa (Foro di Genova), Italy, except where mandatory consumer law of your country of residence requires otherwise.

15. Environmental contribution and Carbon Neutral Shop

VinKet makes a €0.50 donation per completed B2C order to Ecologi for tree planting. This amount is included in the platform's operating costs and is not charged separately to buyers or sellers. CO₂ savings estimates displayed on the platform are based on Ellen MacArthur Foundation and WRAP methodologies and are indicative only. They do not constitute accredited environmental certification.

The Carbon Neutral Shop is an optional monthly subscription for sellers at €4.90/month (excl. VAT). It activates a "Carbon Neutral" badge on the seller's shop and funds estimated compensation for shipping-related emissions. The subscription renews automatically each month. Sellers may cancel at any time from their dashboard; access remains active until the end of the current billing period.

16. VNK credits and Green VNK

VinKet issues virtual credits called VNK and Green VNK to incentivise the circular economy. VNK credits can be purchased or earned through platform activity (e.g. publishing listings, using AI tools) and are used to access paid AI features. Green VNK credits are earned exclusively through sustainable actions (e.g. re-listing a purchased item: +10 Green VNK) and cannot be purchased or converted into cash. Purchased VNK credits expire 30 days after purchase unless stated otherwise. Credits have no monetary value outside the Platform and are non-refundable except as required by law. Upon account closure, unused credits are cancelled without refund.

17. Re-listing

Buyers who have completed an order may create a listing ("re-listing") for the purchased item using the dedicated flow. A re-listing creates a draft listing in the buyer's name as seller, pre-filled with the original item's data. The buyer is responsible for reviewing and updating all information (in particular condition and price) before publishing. Each order may be subject to only one re-listing. Re-listing requires the order to be in paid, shipped, delivered, or completed status. VinKet reserves the right to disable re-listing for specific product categories where required by applicable regulations.

18. Eco Score and sustainability data

Sustainability indicators (Eco Score, Eco Grade, CO₂ saved, water saved, waste diverted) displayed on the platform are estimates calculated using category averages derived from academic and industry sources (Ellen MacArthur Foundation, WRAP, WWF, FAO). They do not represent individual measurements of specific items. ESG data accessible via API (/api/b2b/esg) is reserved for authorised partners with a valid API key and is subject to a separately agreed licence.
